We are expanding our Legal Team in the area of Governance and Compliance

The effective execution of corporate strategy in compliance with laws and regulations is crucial for achieving sustainable success.

About the position

The main focus will be to identify and assess legal risks for VARD, and to develop strategies, procedures and actions to address such risks with a focus on adding value and sustainability and with a focus on defending VARD's business, assets and reputation. 

You will be the leading contributor to ensuring that VARD acts in compliance with internal and external laws and regulations. This will be done by giving practical advice, drafting procedures and monitoring adherence, as well as being the driving force behind a good compliance culture. You will help create insight into and understanding of compliance in the different business units. By being the compliance advisor to managers and key personnel, you will be an important contributor to VARD living its bran “Built on Trust”. You will also take part in the legal team's other daily tasks, such as contract negotiations, dispute handling and corporate matters in general. 

The Legal Counsel shall assist the VARD General Counsel on the following matters with a strategic and commercial mindset with key focus on:

Taking a leading role in further developing and updating compliance policies and implementation of these based on existing and new laws and regulations.

  • Contribute to creating a good culture in the organization that emphasizes compliance with rules and regulations
  • Advise on corporate governance structures and implementation of these
  • Develop training programs related to the above together with other departments
  • Manage reporting activities to relevant stakeholders, including contributing to reports to BOD and shareholders on compliance and governance
  • Assist with implementation and advise related to compliance requirements from the Italian stock exchange required by shareholders
  • Manage external legal counsels in the area of compliance and governance
  • Maintaining corporate records and supporting with arrangements of BOD meetings and GM meetings
  • Assist different departments in due diligence activities of third parties
  • Advise top management/CEO and BOD on compliance and governance related matters
  • Recommend risk mitigation actions in contract templates, contract negotiation and contract execution in the compliance area
  • Monitoring legal affairs in subsidiaries globally
  • Assist in contract negotiations and follow up in contract execution phase, with key focus on shipbuilding contracts and other material contracts such as large supplier contracts, having a proactive role in the initial phase of a project to understand, address and reduce risks and conflicts
  • Advise on corporate matters in general, including M&As, restructurings, financing arrangements and intragroup transactions
  • Recommending legal strategies in response to legal issues, including threatened and actual litigations
  • Continuously improvements of templates for key contractual documents and internal training of such

Who are you?

You have a law degree (preferably master degree) and 3-5 years of relevant experience working with governance or compliance. 

Combining your expertise with your strong communication and problem-solving skills, you have the ability to influence the direction of the company by sharing ideas with others and seeking improvements. You are passionate about motivating and advising colleagues and managers on all levels and have the ability to operate independently with a high degree of precision, efficiency and ethics.

For this position it is important that you have a strategic view combined with a detailed orientation and are capable of handling pressure and tough deadlines.
